Lernico Terms of Use

1. Introduction
Lernico Labs AB ("Lernico", “we”, “our”) provides an AI
assistant designed for teachers and schools (the “Service”). These Terms
of Use (“Terms”) govern your access to and use of the Service. By creating
an account or using the Service, you agree to these Terms.
These Terms apply to:
- Self-serve teachers who sign up individually.

Schools, districts, or other educational institutions
(“Institutions”) who enter into agreements with Lernico.
2. License, Access & Eligibility

We grant you a limited, non-exclusive, non-transferable right to use the
Service for your professional educational work.

Access is permitted only for the number of users covered by your
subscription or Institution agreement.
- You may not resell, sublicense, or attempt to reverse engineer the Service.
Eligibility. You must be an Educator (e.g., teacher,
school leader/administrator) or an authorized contractor acting on behalf
of an Institution. We may request verification of educator status or
affiliation (e.g., school email domain or proof) and may suspend or limit
access if verification is not provided.
No student accounts. Lernico does not provide student
accounts. Any processing of student information occurs only under an
Institution’s control, as configured by Educators, and is governed by the
applicable DPA.
3. User Responsibilities and Acceptable Use
Use the Service only for lawful, education‑related purposes consistent
with your role as an Educator or as an authorized user of an Institution.
You agree not to:

Legal/rights: Violate laws or others’ IP, privacy, or
personality rights.

Account security: Share credentials or allow
unauthorized access.

Content: Upload unlawful, harmful, harassing,
discriminatory, or misleading content.

Security: Probe/scan systems, introduce malware, bypass
rate limits, or otherwise disrupt the Service.

Reverse engineering: Decompile, reverse engineer, or
attempt to access source code except where permitted by law.

Competitive use: Access the Service to build or improve
a competing product, to benchmark or publish performance tests, or to
copy any feature, function, workflow, user‑interface element, or data
schema without our prior written consent.

Scraping/training: Scrape, harvest, or bulk‑export
prompts/outputs or other data (beyond ordinary instructional use), or
use prompts/outputs to train or improve a competing AI model or service.

Commercial misuse: Use the Service to create or offer
commercial products or services unrelated to your educational role
without our prior written consent.

Export controls: Use the Service in violation of
applicable export control or sanctions laws.
AI outputs. Outputs are drafts to support your work; you
must review and adapt them before use. They may contain errors or bias.
Public‑sector carve‑out. Nothing in this section
restricts authorized security testing or evaluation by an Institution in
the ordinary course of procurement or contract management.
4. Intellectual Property & Confidentiality

Our IP. Lernico owns all rights in the Service,
including software, models, documentation, and generated outputs.

Your content. You retain rights to content you upload.
You grant Lernico a limited license to host, process, reproduce, and
display that content solely to provide, secure, and improve the Service,
and to create aggregated/de‑identified analytics. For Institutions,
these uses are subject to (and may be limited by) the applicable DPA.

No cloning. You may not copy or replicate the Service’s
user interface, workflows, templates, or data schemas to develop a
competing service, nor disclose them to third parties. These elements
constitute Lernico Confidential Information and may be used only as
permitted by these Terms.

Feedback. If you provide feedback or suggestions, you
grant Lernico a worldwide, perpetual, irrevocable, royalty‑free license
to use and incorporate them without restriction.

Reservations. Except for the limited rights expressly
granted, no other rights or licenses are granted (by implication,
estoppel, or otherwise).
5. Data & Privacy

Use of the Service is subject to our Privacy Policy, which describes how
we collect and process personal data, and your rights under applicable
law.
- For teacher self‑serve accounts, Lernico acts as data controller.

For Institutions, Lernico acts as processor under the applicable Data
Processing Agreement (DPA).

Student Data is only processed as instructed by the Institution and
never used for advertising or unrelated profiling.

Your rights. Your GDPR/CCPA (or local law) rights and
how to exercise them are set out in our Privacy Policy. For Student
Data, please route requests through your Institution.

Government requests. Our approach to government and
law‑enforcement requests, including notification where legally
permitted, is described in our Privacy Policy.

Third‑party services & integrations. Use of
integrations (e.g., Google, Microsoft) and third‑party services or links
is subject to those providers’ terms. We request only the minimum
necessary scopes. We are not responsible for third‑party content or
services.
6. Availability and Support
We aim to provide reliable Service but do not guarantee uninterrupted or
error-free operation. Maintenance and updates may cause temporary
disruptions.
7. Payment and Subscriptions
- Self-serve accounts are billed according to the plan selected.
- Institutional use is subject to the signed agreement with Lernico.
- Fees are non-refundable except as required by law.
8. Termination
- You may stop using the Service at any time.

We may suspend or terminate access if you breach these Terms, misuse the
Service, or fail to pay applicable fees.

Provisions on intellectual property, liability, privacy, and governing
law survive termination.
9. Disclaimers
The Service is provided “as is.” Lernico makes no warranties of fitness
for a particular purpose, accuracy, or uninterrupted use.
10. Limitation of Liability
To the fullest extent permitted by law:

Lernico is not liable for indirect, incidental, or consequential
damages.

Lernico’s total liability in any 12-month period will not exceed the
fees paid for the Service during that period.
11. Indemnification
You agree to indemnify Lernico against third-party claims resulting from
misuse of the Service in violation of these Terms.
12. Governing Law and Disputes

EU/EEA: These Terms are governed by Swedish law and
disputes resolved by Swedish courts.

US: These Terms are governed by the laws of the State
of Delaware, unless mandatory local law provides otherwise.

Order of precedence (Institutions): If an Institution
has signed a separate master services agreement and/or DPA with Lernico,
those documents control in the event of a conflict with these Terms.

Public Institutions: may require adjustments; Lernico
will respect mandatory procurement laws.
13. Changes
We may update these Terms. Continued use of the Service after changes
means you accept the updated Terms.
